Constitution
ARTICLE I: NAME
This organization, a domestic non-profit association
incorporated under the laws of the State of Georgia,
shall be known as Woodland Hills Neighborhood Association
Inc.
ARTICLE II: PURPOSE
The purpose of this association shall be to unite homeowners
and residents in their mutual desire to preserve the
beauty, peacefulness, and residential character of the
Woodland Hills neighborhood. In keeping with that goal;
the Association shall strive to:
(1) create an on-going sense
of community and positive identity for the Woodland
Hills
neighborhood;
(2) ensure a pre-existing organization
capable of taking swift action when needed to
protect the mutual goals of the association and its
members;
(3) alert members to proposed
zoning changes or similar governmental action that may
impact the Woodland Hills neighborhood. To plan and
execute appropriate action on
behalf of the members of the Association as deemed necessary.
The Association shall strive
to maintain positive and productive communication with
elected officials of the Woodland Hills- neighborhood
encouraging awareness of our community as a vital residential
area. This shall, in all cases, remain a non-partisan
organization. The officers may invite political candidates
or office holders to discuss their views and policies
before the membership. In such cases, all candidates
shall be given equal opportunity to express their positions
as they pertain to Woodland Hills neighborhood.
ARTICLE III: COMPOSITION AND
MEMBERSHIP
Membership shall be open to all
homeowners or residents within the Woodland Hills neighborhood.
Woodland Hills shall be defined as the residential island
bounded by LaVista Road to the North, CSX Rail lines
to the South, the Dekalb county line to the West, Briarcliff
Road to the East.
Membership shall be on a household basis, one (1) annual
membership per house with each household having one
vote.
The Association shall have the power to collect dues
and to utilize those monies for the benefit of the Association
as directed in the Constitution and By-Laws. Annual
dues shall be set each year by the Executive Committee
and shall be paid in full by July 31.
Quarterly meetings will be open to all members and their
guests. Only members in good standing will be entitled
to speak or vote during business sessions.
ARTICLE IV: OFFICERS
Officers shall be elected by
a majority vote of the membership voting and shall serve
terms of one (1) year. Election of officers shall be
held at the July Annual meeting. Only members in good
standing will be allowed to vote. The elected officers
and their duties shall be specified in the By-Laws.
The President of the Association shall have the power
to call advisory meetings of the officers and to appoint
committees, Section VP’s, and such other persons
for special duties as needed.
ARTICLE V: MEETINGS
The Association shall hold quarterly
meetings for the purpose of communicating information
and planning. The quarterly meetings shall be held the
last Thursday of January, April, July and October, unless
otherwise stipulated, at a time and place announced
by the President. When necessary,
the President shall have the power to call a special
meeting of the Association by notifying the membership.
Executive Committee meetings will be held the first
Wednesday of each month, unless otherwise stipulated.
Notification shall be in writing whenever possible.
ARTICLE VI: AMENDMENTS
The Articles of this Constitution may be amended by
submitting proposed changes to the membership in writing
with a notice of the time and date proposed for the
meeting at which the voting will take place. A change
will require the affirmative vote of two-thirds of the
members voting at a meeting. The group shall have the
right to make, amend, or abolish By-Laws for the Association
by a simple majority vote of the members voting at announced
meetings of the full membership.

By-Laws
SECTION I: ELECTED OFFICERS,
EXECUTIVE COMMITTEE AND DUTIES
(A) The elected officers of the
Association shall be a President, and Executive Vice
President, a Treasurer/Registrar, a Secretary and five
Section Vice Presidents. The President shall appoint
a Zoning Coordinator and Parliamentarian.
(B) The Executive Committee shall
consist of the elected officers in the Association,
the immediate Past President, Zoning Coordinator.
(C) With respect to the election
of the President, Executive Vice President, Treasurer,
Registrar, Secretary, and Section Vice Presidents; the
President shall accept nominations from members in good
standing. The presiding officer of the Annual Meeting
shall give an opportunity for other nominations to be
made from the floor. The person receiving a plurality
of the votes for each office shall be declared elected.
(D) Duties of the elected offices
shall be as follows:
(1) The President - The President
shall:
(a) serve as an ex-officio member of all committees;
(b) with the concurrence of the Executive Committee,
make all appointments and fill all interim vacancies;
(c) preside at all Association meetings, serve as the
Chairman of the Executive
Committee, and preside at all of its meetings;
(d) represent the Association to pertinent public officials
and government bodies. In
general, the President shall perform such duties as
customarily pertain to the office of the President of
an organization, including such other duties as are
provided for in these By-Laws and as from-to-time may
be assigned to him/her by the Executive
Committee.
(2) The Executive Vice President
- The Executive Vice President shall:
(a) shall serve as an aide to the President;
(b) at the request of the President, or in the event
of the absence or disability of the
President, perform all of the duties of the President,
and in so acting, shall have all the powers of and be
subject to the restrictions upon the President.
The Executive Vice President shall perform such other
duties as may from time-to-time be assigned to him/her
by the President or by the Executive Committee.
(3) The Treasurer/Registrar -
The Treasurer/Registrar shall:
(a) be responsible for receiving, safeguarding and keeping
account of all
moneys received expenses for the use of the Association;
(b) shall deposit sums received by the Association in
the name of the Association in such insured depositories
as shall be approved by the Executive Committee and;
(c) The Treasurer/Registrar shall, in general, perform
all the duties incident to the office of Treasurer/Registrar
and such other duties as may from time-to-time be assigned
by the Executive Committee or by the President. All
authorized expenditures of the Association shall be
paid by bank check bearing the signature of the Treasurer/Registrar
and, if over $500 co-signed by the President or the
Executive Vice President.
(d) shall report to the President deposits made from
memberships and
subscriptions;
(e) shall keep and maintain a membership list and data
base of the members
and subscribers of the Association, and all other residents;
(f) shall provide the Executive Committee with monthly
membership
reports and;
(g) shall send renewal notices to members and subscribers
prior to the July 1
renewal date
(j) shall provide the Executive Committee with monthly
membership
reports and;
(k) shall send renewal notices to members and subscribers
prior to the July 1
renewal date.
(5) The Secretary - The Secretary
shall:
(a) keep complete and accurate minutes of all meetings
of the Association and the
Executive Committee;
(b) be responsible for dissemination of pertinent information
to members of the
Association and;
(c) accept nominations from members in good standing
for each elected position.
(6) Section Vice Presidents -
The Section Vice Presidents shall:
(a) be responsible for
disseminating information regarding the Association
to and
maintaining communication with the residents of each
Section;
(b) perform such duties as from time-to-time may be
assigned to them by the Executive Committee;
(c) shall act as representatives and a communications
conduit to the Executive
Committee for the residents of each Section for concerns
regarding the Association
.
(E) Duties of appointed offices shall be as follows:
1) Zoning Coordinator - The Zoning
Coordinator shall:
(a) represent the interests of the Woodland Hills Neighborhood
Association, Inc. by gathering, interpreting and disseminating
information related to development and zoning issues;
(b) act as liaison between residents and outside interests,
participate in or appoint
another resident to the DeKalb County Community Council
and;
(c) attend public hearings affecting Woodland Hills.
(F) Removal from the Executive
Committee shall be automatic if a member is absent for
three (3) consecutive Executive Committee meetings without
notice, absent from one more than half the regular Executive
Committee meetings during a calendar year, or violates
Association policies or objectives as determined by
the Executive Committee. Written notice of the reason
for removal shall be provided by the President. The
President shall have the authority to appoint a member
in good standing to fill the remaining term of the vacated
position.
SECTION II: GEOGRAPHIC SECTION
BOUNDARIES OF LAVISTA PARK
(A) The geographic section boundaries
of Woodland Hills shall be defined as follows:

SECTION III: ORDER OF BUSINESS
The order of business at quarterly
meetings shall be as follows:
• Call to order by the President,
• Reading and adoption of the minutes of the last
meeting;
• Report of the Secretary;
• Report of the Registrar;
• Report of the Treasurer;
• Report of the Executive Committee;
• Report of the Standing Committees;
• Old business;
• New business;
• Appointment of Committees;
• Announcements;
• Program or guest speaker;
• Adjournment.
SECTION IV: DUES
Annual dues and/or special assessments
of the Woodland Hills Neighborhood Association shall
be from time to time determined by the Executive Committee.
A member shall be considered in good standing if his/her
dues are paid for the current year. Members not in good
standing forfeit the right to vote or address the membership
during business sessions.
